Terms of Use

These Terms of Use (the “Terms”) constitute a binding legal agreement between QrBite (“QrBite,” “we,” “us,” or “our”) and any Restaurant or Customer using the QrBite platform (“Services”). The following terms govern all use of the Services provided by QrBite, including but not limited to any associated websites, mobile applications, APIs, and other services made available by QrBite. By accessing or using the QrBite Services in any manner, you agree to be bound by these Terms, as well as any policies or guidelines incorporated herein by reference.

1. Definitions

For the purpose of these Terms, the following definitions shall apply:

  • “QrBite” refers to the comprehensive ordering, payment, and POS management system designed, maintained, and owned by [Your Company Name], inclusive of all related technology, intellectual property, and proprietary services.
  • “Restaurant” refers to any commercial entity, individual proprietorship, or business enterprise that registers, subscribes, or otherwise engages with QrBite for purposes of using the Services to facilitate customer ordering, payment processing, and operational management.
  • “Customer” refers to any individual consumer or end user of the Services, who engages with QrBite through the scanning of a QR code or other mechanisms provided by the Restaurant to access menu options, submit orders, and execute payments.
  • “Services” refer collectively to QrBite’s software, platform, API, websites, mobile applications, and all functions provided therein for the purpose of enabling digital transactions between Restaurants and Customers, including but not limited to QR code ordering, digital payment processing, and POS functionalities.

2. Acceptance of Terms

By utilizing the Services, either as a Restaurant or as a Customer, you hereby acknowledge that you have read, understood, and agree to be bound by these Terms, including any subsequent modifications or amendments as may be implemented by QrBite from time to time. Failure to agree to these Terms prohibits you from accessing or using QrBite in any manner.

3. For Restaurants

  • 3.1. Grant of Limited License

    Subject to the provisions and limitations set forth herein, QrBite hereby grants the Restaurant a non-exclusive, non-transferable, revocable license to access and use the Services for the sole purpose of facilitating customer ordering and payment processing, either as a stand-alone POS system or integrated with an existing POS system. This license does not confer any proprietary rights in the underlying software, intellectual property, or technical infrastructure of QrBite.

  • 3.2. Menu and Order Management

    Restaurants are solely responsible for maintaining the accuracy of all menu items, descriptions, prices, and availability provided through QrBite. QrBite provides a framework through which menu information is displayed to Customers; however, all errors, omissions, or discrepancies in the menu content are the Restaurant’s responsibility. Restaurants agree to monitor their QrBite dashboard regularly to ensure accuracy and to implement any corrections or updates as necessary.

    Restaurants must fulfill all orders placed through QrBite in accordance with the terms presented to the Customer at the time of ordering. QrBite provides no warranties or guarantees regarding the timeliness or accuracy of order delivery, and Restaurants agree to indemnify QrBite against any claims arising from delays, errors, or failures in order fulfillment.

  • 3.3. Payment Collection, Transaction Fees, and Fee Structure

    All payments made by Customers via QrBite for orders placed at a Restaurant are first collected by QrBite through an authorized third-party payment processor. QrBite shall act as a limited payment collection agent for the Restaurant, authorized to receive funds on the Restaurant’s behalf. Upon successful completion of a transaction, QrBite shall deduct its applicable fees before remitting the remaining balance to the Restaurant, as detailed below:

    • Transaction Fees: QrBite shall deduct a 1.5% transaction fee from each payment, with a minimum of 1 AED per transaction. This transaction fee represents QrBite’s charge for the use of the Services, including payment processing, ordering facilitation, and platform maintenance.
    • Card Processing Fees: QrBite will also deduct any applicable card processing fees imposed by the payment gateway, ranging between 1.5% and 2%, from the total transaction amount prior to transferring the funds to the Restaurant.
    • Settlement Period: Funds will be remitted to the Restaurant’s designated bank account, less QrBite’s transaction fees and card processing fees, on a scheduled settlement basis. Settlement will occur within a timeframe determined by QrBite, which may be subject to delays based on external banking and payment processing protocols.

    QrBite reserves the right to adjust the fee structure at any time, with prior written notice to Restaurants, at least 30 days in advance of such changes taking effect. Continued use of the Services after the effective date of any fee adjustment constitutes the Restaurant’s acceptance of the new fees.

  • 3.4. Taxes

    Restaurants are responsible for calculating, collecting, and remitting any applicable sales, use, value-added, or other taxes arising from the sale of goods or services to Customers through QrBite. QrBite bears no responsibility for the calculation, reporting, or payment of such taxes, nor will QrBite be liable for any penalties or fines related to the Restaurant’s failure to comply with tax obligations.

  • 3.5. Intellectual Property and Data Ownership

    Restaurants retain ownership of their own business data, including but not limited to menu content, pricing information, and transaction histories. However, by submitting such data to QrBite, Restaurants grant QrBite a worldwide, royalty-free, perpetual, irrevocable license to use, display, modify, and aggregate such data for the purposes of providing the Services, generating insights, improving functionality, and conducting market analysis.

4. For Customers

  • 4.1. Use of Services

    Customers may access QrBite by scanning a QR code or utilizing other mechanisms provided by the Restaurant to initiate orders and payments. By doing so, the Customer agrees to provide accurate and complete information regarding their order, including but not limited to item selections, payment information, and any special requests. QrBite is not liable for incorrect or incomplete orders submitted by the Customer. Once an order has been submitted through QrBite, the Customer agrees that such order is final and may not be canceled or modified, except as explicitly permitted by the Restaurant.

  • 4.2. Payment Authorization and Processing

    Customers authorize QrBite to charge the payment method provided for the full amount of their order, including applicable taxes, tips, and service fees. Customers further agree to the deduction of a 1.5% transaction fee (minimum 1 AED) added to their order total, as displayed at the time of checkout. QrBite’s payment processor will facilitate the transaction on behalf of the Restaurant, and upon completion, QrBite will issue a digital receipt to the email address provided by the Customer.

  • 4.3. Refunds and Chargebacks

    All requests for refunds or order modifications must be addressed directly to the Restaurant. QrBite does not process refunds, and its role in the transaction is limited to payment facilitation. In the event of a disputed charge or unauthorized payment, Customers must contact their issuing bank or credit card provider to initiate a chargeback process. QrBite will cooperate with financial institutions to provide transaction records but bears no liability for the outcome of the dispute.

5. Limitation of Liability

  • 5.1. Disclaimer of Warranties

    QrBite is provided “as is” and “as available” without any warranties, whether express, implied, statutory, or otherwise. QrBite does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. All warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranties are expressly disclaimed to the fullest extent permitted by law.

  • 5.2. Limitation of Liability

    In no event shall QrBite, its affiliates, officers, directors, employees, or agents, be liable to any Restaurant, Customer, or third party for any indirect, incidental, special, consequential, punitive, or exemplary damages (including without limitation loss of profits, data, business, or goodwill), whether arising from breach of contract, tort (including negligence), or any other legal theory, even if QrBite has been advised of the possibility of such damages.

    The total aggregate liability of QrBite arising out of or related to these Terms, the use of the Services, or any transaction processed through QrBite, shall not exceed the greater of the total fees collected by QrBite in relation to the specific transaction at issue or [insert amount] AED.

6. Termination of Service

  • 6.1. Termination by QrBite

    QrBite reserves the right to suspend or terminate access to the Services at its sole discretion, with or without cause, and with or without notice to the Restaurant or Customer. Reasons for termination may include, but are not limited to, non-payment of fees, violation of these Terms, illegal activity, or fraudulent use of the Services.

  • 6.2. Termination by Restaurant

    Restaurants may terminate their subscription to QrBite at any time by providing 30 days’ written notice to QrBite. Upon termination, the Restaurant shall cease all use of the Services, and QrBite shall revoke access to all system functionalities. Any outstanding fees due to QrBite will remain payable in full upon termination.

  • 6.3. Termination by Customer

    Customers may cease using QrBite at any time, and no formal termination
